Huawei Software License Agreement 2.0

IMPORTANT NOTE - Before you download, install, or use the software, please read the Huawei Software License Agreement (hereinafter referred to as the “Agreement”):

This Agreement constitutes a legally binding contract between you and the entity you are authorized to represent (collectively referred to as “you” or “your”) and Huawei Technologies Co., Ltd. and its Affiliates (hereinafter referred to as “Huawei”) regarding the download, installation, and use of the software provided to you under this Agreement (hereinafter referred to as “the Software”). Huawei and you are each individually hereinafter also referred to as “Party” and, collectively, as “Parties”.
By downloading, installing, copying, or otherwise using the Software, you agree to be bound by all the following terms of this Agreement. If you DO NOT AGREE TO THE FOLLOWING TERMS OF THIS AGREEMENT, DO NOT DOWNLOAD, INSTALL, COPY, OR USE THE SOFTWARE.

1.	Definition
1.1 Software refers to the binary code and other related documents provided by Huawei based on this Agreement, including updates or upgrades of the aforementioned content.
1.2 Atlas Hardware refers to hardware products developed based on Atlas processors, including but not limited to modules, boards, AI edge stations, servers, and clusters.
1.3 Affiliate shall mean, with respect to any Party, any corporation, partnership, limited liability company, joint venture or other legal entity that directly, or indirectly through one or more intermediaries, controls, is controlled by, or is under common control with, such Party. For the purposes of this section, “control” shall mean the direct or indirect ownership of more than 50% of the shares, equity interests or voting power, or the possession, directly or indirectly, of power to materially influence the resolution of the meeting of shareholders or the general meeting of shareholders.

2.	Grant of License
2.1 Unless otherwise provided in the terms of this Agreement or you have separately signed a written license agreement with Huawei, and subject to the terms of this Agreement, Huawei hereby grants you a royalty-free, worldwide, non-assignable, non-transferable, non-exclusive and revocable license, during the term of this Agreement, with the right to sublicense only to the circumstance that the Software is incorporated with any Atlas Hardware or any software for which you own the copyright for the purpose to allow users to use the Software on Atlas Hardware:
2.2 Except for the rights granted in Section 2.1 of this Agreement, Huawei reserves all rights to the Software, and nothing in this Agreement shall be deemed as a transfer of any rights to the Software or a license granting you any rights.
2.3 You agree that the scope and conditions of the license you grant to the sub-licensee shall not exceed those of this Agreement, and the restrictions and conditions of the license shall not be less or lower than those of this Agreement. You undertake to pass the obligations of this Agreement to your sub-licensee. Without Huawei's consent, you shall not explicitly or implicitly agree with the sub-licensee to waive any rights or obligations under the sub-license.
2.4 The Software may come bundled with, or otherwise include or be distributed with, Huawei or third-party components with separate legal notices or terms as may be described in proprietary notices accompanying the Software. If and to the extent there is a conflict between the terms in this Agreement and the license terms associated with the component, the license terms associated with the components control only to the extent necessary to resolve the conflict.

3.	Restrictions
3.1 You shall not sell, rent, lease, lend, share, disclose, sublicense, or distribute all or part of the Software to third parties for profit without Huawei's prior written consent.
3.2 Without the prior written consent of Huawei, you shall not and will not allow other individuals, companies, organizations, or other entities to perform the following operations on the Software:
(1) Reverse engineering, decompilation, and disassembly;
(2) Acts such as adapting, translating, modifying, or creating derivative works based on the Software;
(3) Obtaining or attempting to obtain the source code of the Software, decoding, modifying the Software or any part thereof, etc.;
(4) Deleting, blocking, minimizing, or modifying the copyright notices, prompts, notifications, and other legal statements contained within the Software;
(5) Attempting to destroy, bypass, alter, or circumvent any technical restrictions related to the Software;
(6) Using the Software for the purpose of conducting intellectual property infringement analysis or evidence collection against Huawei or Huawei's customers;
(7) Disclosing data related to the Software, including but not limited to performance evaluation data, without Huawei's prior written consent;
(8) Integrating the Software into malicious, deceptive, or illegal products, or using the Software in any other illegal manner;
(9) Performing any other acts with respect to the Software that exceed the scope of license granted under this Agreement, including but not limited to acts that violate any applicable laws and regulations, public order, or public morals.

4. Pre-release Version Software
4.1 Pre-release Version Software refers to the Software or related materials identified as preview, prototype, alpha, beta or otherwise as pre-release versions in the release notes, https://www.hiascend.com, or other places. Therefore, Pre-release Version Software (i) may not fully functional or have been fully tested, and may contain errors, defects, or design flaws; (ii) Huawei may make substantial modifications to it when developing the commercial version; or (iii) Huawei does not guarantee that it will develop or provide the corresponding commercial version.
4.2 You may use the Pre-release Version Software to make a reasonable number of copies and you shall use the Pre-release Version Software for evaluation and testing purposes only. Subject to understanding and agreeing to the restrictions in Section 3 above, you may also not: (i) modify or integrate the Pre-release Version Software into your product; (ii) continue to use the Pre-release Version Software after the commercial version is released; or (iii) disclose to any third party any benchmarks, performance results, or other information related to the Pre-release Version Software. Huawei may, in its sole discretion, waive these restrictions in writing; However, even if Huawei waives these restrictions, you acknowledge and agree that you are solely responsible for all issues resulting from the use the Pre-release Version Software if you decide to conduct such use in your product.

5. Limitation of Liability
5.1 Huawei does not provide maintenance or vulnerability remediation services for the Software, and assume no liability for any malfunctions occurring during the use of the Software. Huawei will independently determine whether to provide mitigation measures or remediation solutions for vulnerabilities occurring during the life cycle of the Software. However, Huawei does not guarantee that all vulnerabilities and errors will be tested and corrected. Due to the constant emergence of new technologies for network intrusions and attacks, Huawei does not guarantee that the Software or any device, system, or network using the Software will be free from intrusion or attack. You have no right to make any claims against Huawei for compensation, repair, replacement, or similar remedies based on issues with the quality of the Software. Huawei assumes no liability for any losses incurred by third parties or claims made against you as a result of your use of the Software.
5.2 The Software is unrelated to the quality of the products into which you integrate the Software. Huawei makes no express or implied warranties regarding your products, including but not limited to warranties of merchantability, satisfactory quality, or fitness for a particular purpose, or any warranties of non-infringement. This Agreement does not imply that the quality of your product has been certified by Huawei or that its performance is guaranteed by Huawei. You agree that you may only make factual claims regarding the Software’s compatibility with Atlas Hardware and may not make any other exaggerated, false, or misleading claims.
5.3 The software is provided AS-IS. Huawei makes no express or implied warranties regarding the accuracy or completeness of any information, text, graphics, links, or other items contained in the Software, and assumes no liability, whether direct or indirect.
5.4 Nothing in this Agreement shall be construed as: (1) any express or implied warranty of other assets, materials, information, text, graphics, links, or other items provided on the Sites related to the Software; (2) any warranty, express or implied, of merchantability, satisfactory quality, suitability for specific purposes, and non-infringement of the Software; (3) any express or implied warranty of the operation, functionality, or availability of the website related to the Software; or (4) any warranty, express or implied, that the website related to the Software is free of viruses or that any defect on the website will be corrected.
5.5 You acknowledge that Huawei has not tested or certified the Software for use in the design, construction, maintenance, and/or operation of any system in which its use or failure could pose a threat to human life or result in catastrophic damage (each such situation being referred to as a “Critical Application”). Examples of Critical Applications include avionics, navigation, autonomous vehicle applications, AI solutions for automotive products, military, medical, life support, or other life-critical applications. Huawei shall not be liable to you or any third party, in whole or in part, for any claims or damages arising from the aforementioned uses, such as the use of the Software to create a Critical Application or as part of a Critical Application. You are solely responsible for ensuring that products or services developed using the Software are, in their entirety, sufficiently functional to comply with all applicable legal and regulatory standards and requirements.
5.6 If you use the Software together with third-party products or components, you are responsible for complying with the terms of any third-party provider. Huawei does not provide support or guarantees for the compatibility of third-party products or the compatibility of third-party products with the Software. If you need to obtain additional licenses from any third parties, you are solely responsible for doing so and agree to obtain any such licenses at your own expense. Huawei assumes no liability for your actions in obtaining such licenses or for any potential infringement of the third parties’ intellectual property rights described above.
5.7 The software you obtain under this Agreement may contain open-source software, third-party software, etc. You are responsible for complying with the applicable open-source license agreements, third-party software license agreements, and other relevant terms. You shall bear full responsibility for obtaining any such licenses at your own expense and agree to do so. Huawei assumes no liability for your actions in obtaining such licenses or for any potential infringement of the aforementioned intellectual property rights of third parties. In the event of any conflict between the terms of the license agreements governing the open-source software or third-party software contained in the Software and the terms of this Agreement, the former shall prevail.
5.8 UNDER NO CIRCUMSTANCES SHALL HUAWEI BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR OTHER LOSSES OR DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SOFTWARE UNDER THIS AGREEMENT OR YOUR DISTRIBUTION OF THE SOFTWARE AFTER INTEGRATION, INCLUDING, BUT NOT LIMITED TO, ANY OF THE FOLLOWING LOSSES OR DAMAGES (WHETHER SUCH LOSSES OR DAMAGES ARE FORESEEABLE, FORESEEABLE, KNOWN, OR OTHERWISE): (I) LOSS OF REVENUE; (II) LOSS OF ACTUAL OR ANTICIPATED PROFITS; (III) LOSS OF USE OF MONEY; (IV) LOSS OF ANTICIPATED SAVINGS; (V) BUSINESS LOSS; (VI) LOSS OF OPPORTUNITY; (VII) LOSS OF GOODWILL; (VIII) LOSS OF USE OF THE SOFTWARE; (IX) LOSS OF REPUTATION; (X) LOSS, DAMAGE, OR CORRUPTION OF DATA; (XI) DIRECT OR INDIRECT LOSSES ARISING FROM THE INTEGRATION OF THE SOFTWARE; OR (XI) ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.
6.  Updates and Upgrades6.1 Huawei may update or upgrade the Software at any time; unless otherwise specified in writing, such updates and upgrades shall be subject to this Agreement. You agree that Huawei is not required to provide you with prior notice regarding updates or upgrades to the Software. Although Huawei generally maintains compatibility between versions of the Software, Huawei does not exclude the possibility that, in certain circumstances, updates or upgrades to the Software may result in version incompatibility.
6.2 Huawei may notify you of amendments to this Agreement, including the documents and policies referenced herein, by uploading the amended version at https://www.hiascend.com or by other means. The amended terms shall take effect upon publication or notification. Your continued use of the Software after the amended terms take effect shall be deemed your acceptance of the amended terms.

7. Warranty
7.1 You are responsible for ensuring that your employees or other persons bound by your contract comply with all terms of this Agreement when using the Software on your behalf under this Agreement.

8. Export Controls
8.1 You agree that the export and re-export of the Software as set forth in this Agreement may be subject to applicable export control laws. Any export or re-export of the Software or any products incorporating the Software shall not violate such laws and shall not be used for any purpose prohibited by such laws.

9. Feedbacks
9.1 You agree that, with respect to any materials, information, comments, suggestions, or other information provided to Huawei in connection with your use of the Software, you hereby grant Huawei a non-exclusive, perpetual, irrevocable, royalty-free license to reproduce, modify, create derivative works of, publicly display, disclose, distribute, and sublicense such information, as well as all data, images, sounds, text, and other materials contained therein and any derivative works thereof, for any commercial or non-commercial purpose.

10. Breach of Contract
10. 1. If your breach of this Agreement results in losses to Huawei and its Affiliates (including, but not limited to, their employees, senior management, directors, supervisors, and CEO) or claims by third parties, you shall be responsible for defending Huawei in any legal proceedings, or cooperating with Huawei’s defense upon its request, to ensure that Huawei’s interests are not harmed in any way, and shall indemnify Huawei for all costs and expenses incurred as a result, including, but not limited to, litigation costs, attorneys’ fees, settlement costs, and damages.
10.2 If Huawei has reasonable grounds to believe that you have violated applicable laws and regulations, this Agreement, or any policies issued by Huawei, Huawei reserves the right to take measures, including but not limited to modifying or revoking the license granted under this Agreement, terminating this Agreement, and/or seeking compensation for losses from you, to hold you legally liable.

11. Term and Termination
11.1 This Agreement shall become effective on the date you download, install, or use the Software.
11.2 This Agreement shall automatically terminate upon the occurrence of any of the following events:
11.2.1 If you initiate legal proceedings against Huawei or against a third party authorized by Huawei to use the Software during the term of this Agreement, this Agreement shall automatically terminate on the date you initiate such proceedings;
11.2.2 If a Party to this Agreement is declared bankrupt or enters into liquidation or dissolution proceedings.
11.3 This Agreement shall terminate immediately or after a specified period upon the occurrence of any of the following events, following the issuance of a notice on the Huawei website or through other means:
11.3.1 If you breach any term or condition of this Agreement, or if you expressly indicate that you will not perform your obligations under this Agreement or demonstrate through your actions that you will not perform such obligations, and such breach is not remedied within thirty (30) days after written notice from Huawei, Huawei may terminate this Agreement immediately upon notice, and you shall be liable for any losses incurred by Huawei as a result;
11.3.2 During the term of this Agreement, if Huawei deems it necessary to terminate this Agreement early, it shall provide you with thirty (30) days’ prior written notice, and this Agreement shall terminate thirty (30) days after you receive such written notice;
11.4 If force majeure or unforeseen events render the continued performance of this Agreement impossible or unnecessary, either party may terminate this Agreement immediately by providing written notice.
11.5 In addition to the foregoing, this Agreement may be terminated by mutual written agreement of both parties.
11.6 Upon termination of this Agreement, for Independent Software Vendors (ISVs) and Huawei-certified Atlas OEM system partners, any Software distributed by either party in accordance with the terms and conditions of this Agreement prior to the termination date shall remain valid after the termination of this Agreement. However, upon termination of this Agreement, you must immediately return or destroy the Software and all copies thereof, and you may not integrate all or any part of the Software into products for further distribution.
11.7 Articles 1, 3, 4, 5, 6, 7, 8, 9, 10, and 11 of this Agreement shall remain in effect after the expiration or termination of this Agreement.

12. MISCELLANEOUS
12.1 Non-Assignability. You may not assign or otherwise transfer this Agreement, in whole or in part, to any third party, including your affiliates, without Huawei’s prior written consent.
12.2 Validity of the Agreement. This Agreement contains restrictions on the use of the Software. If you obtain the Software through a Huawei distributor or partner, the terms of this Agreement shall still apply to your use of the Software. If any provisions in the agreement between you and a Huawei distributor or partner regarding the use of the Software conflict with the terms of this Agreement, the terms of this Agreement shall prevail.
12.3 Governing Law and Jurisdiction. 14.1	This Agreement and matters relating to the performance and validity thereof shall be construed, interpreted, applied, and governed in all respects in accordance with the laws of China without giving effect to principles of conflicts of law. All disputes, controversies and differences between Huawei and you arising out of or related to this Agreement, including any question regarding its existence, validity or termination shall be settled amicably through negotiations in good faith. In the event that such dispute or controversies cannot be settled amicably through negotiations, it shall be adjudicated by a competent court sitting in Longgang District of Shenzhen, China.
12.4 Entire Agreement. This Agreement incorporates policies and documents by reference (including information cited in web links or other policy information cited herein) and constitutes the entire agreement between you and Huawei regarding the use of the Software. This Agreement supersedes, terminates, and replaces all prior or contemporaneous written or oral representations, communications, understandings, and commitments between you and Huawei. When you use or purchase open-source software, third-party content, or other Huawei services, you may also be subject to other applicable terms.
